Terms of Service
Effective date: July 7, 2026
Article 1 (Purpose)
These Terms govern the conditions and procedures for using the Commitude service ("the Service") provided by CIAONEX ("the Company"), as well as the rights, obligations, and responsibilities of the Company and its users.
Article 2 (Provision of the Service)
The Company provides a dashboard that visualizes commit history, development progress, and an AI work timeline based on your connected GitHub account.
Article 3 (Sign-up and account)
- You may only sign up for and use the Service via GitHub OAuth login.
- You must be at least 18 years old. Anyone under 18 may not use the Service.
- You are responsible for keeping your GitHub account credentials secure. The Company is not liable for damages arising from unauthorized use of your account.
Article 4 (Plans and billing)
- The Service provides a 7-day free trial starting immediately upon signup.
- After the trial ends, you will be automatically billed for your chosen plan (monthly or annual); billing is processed through our payment processor, Polar.
- Payments are non-refundable. If you cancel, you may continue using the Service until the end of the period you already paid for.
- You may change or cancel your plan at any time, including during the trial.
Article 5 (User obligations)
While using the Service, you must not do any of the following.
- Violate applicable law, these Terms, or any notice posted in connection with the Service
- Connect another person's GitHub account or repositories without authorization
- Reverse engineer, decompile, disassemble, or otherwise attempt to extract the source code of the Service
- Crawl, scrape, or access the Service through automated means at scale without the Company's prior written consent
- Resell or redistribute the Service to a third party without the Company's prior written consent
- Probe, scan, or attack the Service's security vulnerabilities without the Company's prior written consent (this does not restrict good-faith vulnerability disclosure through a proper channel)
- Overuse or abuse the Service to a degree that interferes with its normal operation
Article 6 (Intellectual property)
All intellectual property rights in the software, UI/UX, trademarks, and logos that make up the Service belong to the Company. You retain all rights to the source code and data in the GitHub repositories you connect; the Company processes that data only to the extent necessary to provide the Service.
Article 7 (Restriction of use)
If you violate applicable law or these Terms, the Company may restrict your use of the Service or terminate this agreement after prior notice, except that notice may be given afterward in urgent cases.
Article 8 (Disclaimer of warranties)
The Service is provided "AS IS" and "AS AVAILABLE." To the fullest extent permitted by applicable law, the Company disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
Article 9 (Disclaimer)
The Company is not liable for failure to provide the Service due to causes beyond its control, including force majeure or outages of third-party services such as GitHub or our payment processor. The Service is provided for informational purposes, and the Company does not guarantee the completeness or accuracy of AI-generated descriptions or analysis.
Article 10 (Limitation of liability)
To the fullest extent permitted by applicable law, the Company's total liability arising out of or relating to the Service shall not exceed the amount you actually paid to the Company in the 12 months preceding the event giving rise to the claim. This limitation does not apply to liability arising from the Company's willful misconduct or gross negligence, breach of confidentiality obligations, infringement of intellectual property rights, or any liability that cannot be limited under applicable law (such as liability for death or personal injury). In no event will the Company be liable for indirect, special, consequential, or incidental damages, or for lost profits.
Article 11 (Indemnification)
If your violation of these Terms or applicable law causes damage to the Company or a third party, you agree to indemnify the Company for the resulting losses, including reasonable attorneys' fees.
Article 12 (Governing law and jurisdiction)
These Terms are governed by the laws of the Republic of Korea. This does not deprive you of any protection you are entitled to under the mandatory consumer-protection provisions of the law of the country in which you reside. Any dispute arising from use of the Service shall be resolved, in accordance with applicable law, in the courts having jurisdiction over the Company's principal place of business.
Article 13 (Export control and sanctions compliance)
You must comply with the export control and economic sanctions laws of the Republic of Korea, the United States, and other applicable jurisdictions. You may not use the Service if you are located in, or are a national or resident of, a country, or are an individual or entity, subject to applicable sanctions.
Article 14 (Changes to these Terms)
The Company may amend these Terms to the extent permitted by applicable law, and will announce any changes within the Service or by email at least 7 days in advance (30 days for changes unfavorable to users). Continuing to use the Service after the announced effective date constitutes acceptance of the amended Terms.
Article 15 (General provisions)
If any provision of these Terms is held invalid under applicable law, the remaining provisions will remain in full effect. These Terms constitute the entire agreement between the Company and you regarding use of the Service. You may not assign your rights or obligations under these Terms to a third party without the Company's prior written consent. The Company's failure to exercise any right under these Terms at any time does not constitute a waiver of that right.
